CHALLENGE ENTRY BRACKETS WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE FIRST FIFTEEN MILLION (15,000,000) ENTRANTS WHO COMPLETE STEPS 3(A)-(C) BELOW (THE "REGISTRATION PROCESS"), AS DETERMINED BY YAHOO! INC. ("YAHOO").
ENTRY IN THIS CHALLENGE CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES, WHICH ARE FINAL AND BINDING.
Eligibility. Except where prohibited by law, the Quicken Loans Billion Dollar Bracket Challenge with Yahoo Sports ("Challenge") is open only to legal residents of the 50 United States and the District of Columbia who: (a) are 18 years of age or older as of the time of entry and located within the 50 United States and the District of Columbia at the time of Entry (including United States military personnel or contractors entering from within a U.S. military installation); (b) as of January 1, 2014 and continuing through the entire Entry Window (defined below), a mobile (or landline) telephone owner under a continuing contract with a service provider for telephone service; (c) that has Internet access prior to the start of the Entry Window and (d) have a valid and working email address during the Entry Window. Internet access is defined to include owning a computer or mobile device with access to the Internet or the ability to use a free computer/mobile device and Internet access provided by a third-party, such as a public library. Eligible persons are not permitted to buy a computer, mobile device/telephone, telephone service or Internet access solely for the purpose of being able to enter the Challenge. You must also have a free Yahoo ID in order to be eligible to participate. Refer to the tournament website, located at http://QuickenLoansBracket.com (the "Website") for any additional requirements. Employees, contractors, directors, and officers, and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) of the sponsor, Quicken Loans Inc. ("Sponsor"), its subsidiaries, affiliates, suppliers, consultants, legal counsel, accounting firms, public relations, sales representatives, website providers (including but not limited to Yahoo), webmasters, advertising and promotional, and marketing agencies, and any others engaged in the development, production, execution or distribution of this Challenge (collectively, "Challenge Entities") are not eligible to enter or win. Participants in the 2014 Division I men's basketball tournament ("Tournament"), including players, coaches, and officials, as well as employees of the National Collegiate Athletic Association ("NCAA"), and all of their immediate family members (parents, children, siblings or spouse regardless of where they live, or persons living in same household, whether related or not), are also not eligible to enter or win. Other eligibility requirements and conditions of participation are set forth below in these official rules for the Challenge ("Official Rules"). This Challenge is subject to all federal, state, municipal, and local laws and regulations. Void in Puerto Rico, the U.S. Virgin Islands, all other U.S. territories and possessions, and where prohibited by law.
Registration and Entry Window. The "Entry Window" for the Challenge opens ("Start Date") at 12:01 a.m. U.S. Eastern Standard Time ("EST") on March 3, 2014. At that time, you may complete the "Registration Process" and begin creating your Challenge Entry Bracket (defined below) if you wish, but you will not be able to populate your Challenge Entry Bracket with your picks for the Tournament (your "Picks") until after the Tournament seedings have been announced on Sunday, March 16, 2014 at approximately 6:30 p.m. US Eastern Daylight Time ("EDT") (the "Seeding Announcement"). The period between the Seeding Announcement and the end of the "Entry Window" is referred to in these Official Rules as the "Bracket Submission Period." The Entry Window will close at 1:00 a.m. EDT on Thursday, March 20, 2014. CHALLENGE ENTRY BRACKETS WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE FIRST FIFTEEN MILLION (15,000,000) ENTRANTS WHO COMPLETE THE REGISTRATION PROCESS (AS DETERMINED BY YAHOO).
How to Enter. NO PURCHASE NECESSARY TO ENTER THE CHALLENGE. To enter the Challenge, eligible individuals ("Entrant" or "Entrants") must complete the following Registration Process.
Quicken Loans Registration Form. Entrants must visit the Website, available at http://QuickenLoansBracket.com, to register with Quicken Loans for the Challenge by completing the Quicken Loans registration form ("Quicken Loans Registration Form"). To complete the Quicken Loans Registration Form, Entrants will be required to provide their name, date of birth, home address and email address, which Entrants acknowledge shall be considered Entrant's contact information for purposes of the Challenge. In the event of a dispute regarding the identity of an Entrant or potential winner due to a conflict between the personal information provided on the Quicken Loans Registration Form and the Yahoo account information on file for the particular Yahoo ID associated with the Entry (defined below), the personal information set forth in the Quicken Loans Registration Form shall govern. A potential winner may be required to provide proof that he/she is the person set forth on the Quicken Loans Registration Form in Sponsor's sole discretion. To enter, Entrants will also be required to complete a short survey from Quicken Loans regarding the Entrant's potential mortgage needs. As set forth in Rule 3(c) below, at the end of the Registration Process, all Entrants will receive an email at the email address provided in the Quicken Loans Registration Form. Entrants must "click" on the link provided in the email to verify the email address, as determined by Yahoo, in order to enter the Challenge.
Yahoo Account. Once you fill out the Quicken Loans Registration Form, Entrants will be sent to a Yahoo sign-in page. If you are not an existing Yahoo ID account holder, follow the instructions to register for a free Yahoo ID. If you are an existing Yahoo ID account holder, you will be asked to sign in. If you have not done so already, you will be asked to confirm a phone number that will be associated with your Yahoo ID (your "Verified Number"). A Verified Number is required in order to participate in the Challenge. Once you have provided your Verified Number, a confirmation code ("Confirmation Code") will be sent to you, either via SMS message (an "SMS Message") or by voice message. If you receive the confirmation code via SMS Message, your carrier's normal SMS data charges will apply. You must return to the Challenge Microsites (defined below) within 15 minutes after the Confirmation Code is sent to you, and enter the Confirmation Code as directed, or the code will expire. If the Confirmation Code expires before you can confirm your Verified Number, return to one of the Challenge Microsites and follow the instructions to generate another code.
Email Verification. After completing the steps in 3(b), Entrants will receive an email at the email address provided in the Quicken Loans Registration Form. Entrants must "click" on the link provided in the email in order to verify the email address, as determined by Yahoo. THE FIRST FIFTEEN MILLION (15,000,000) ENTRANTS WHO COMPLETE THE REGISTRATION PROCESS AND VERIFY THEIR EMAIL ADDRESS (AS DETERMINED BY YAHOO) ARE ENTERED IN THE CHALLENGE AND MAY COMPLETE THEIR CHALLENGE ENTRY BRACKETS.
Mobile App Entry Method. Entry is also available via the free Yahoo Sports mobile application (the "Mobile App"). The Mobile App may be downloaded from https://itunes.apple.com/us/app/yahoo-sports/id286058814?mt=8 (for iOS users) or https://play.google.com/store/apps/details?id=com.protrade.sportacular (for Android users). A mobile device that is capable of running the Mobile App is referred to in these rules as a "Qualifying Mobile Device." To enter the Challenge via the Mobile App on your Qualifying Mobile Device, look for the links to the Challenge within the Mobile App (the portion of the Mobile App devoted to this Challenge is referred to in these Official Rules as the "In-App Site;" the Website and In-App Site are collectively referred to in these Official Rules as the "Challenge Microsites").
Creating Entries (excluding Non-Challenge Brackets):
Challenge Entry Bracket. Once you have completed the Registration Process, you may create your bracket for the Challenge (a "Challenge Entry Bracket" or "Entry"). Only one (1) bracket will be designated the Challenge Entry Bracket. You may edit your Picks in your Challenge Entry Bracket at any time up until the close of the Entry Window.
Your Challenge Entry Bracket may be created either on the Website or the Mobile App. If the Bracket Submission Period for the Challenge is open, continue to Rule 3(f) below to learn how to fill out and submit your Challenge Entry Bracket. In the event that the Mobile App is not available during the Entry Window or Bracket Submission Period for any reason, Entrants should participate in the Challenge via the Website and Entrants release Challenge Entities for any liability in connection therewith.
Non-Challenge Brackets. You are also permitted to create up to ten (10) other non-Challenge brackets ("Non-Challenge Brackets"), which may be filled in with Picks, but none of these Non-Challenge Brackets will be entered into the Challenge and none of these may be moved or designated as an Entry into the Challenge.
Total Possible Brackets. A maximum of eleven (11) brackets may be created per Yahoo account BUT only one (1) bracket will be designated the Challenge Entry Bracket and only the Challenge Entry Bracket may be used as an Entry in this Challenge. Once a bracket is created from your account, whether a Challenge Entry Bracket or a Non-Challenge Bracket, the bracket cannot be deleted from your account.
Filling Out and Submitting Your Challenge Entry Bracket: The seedings for the Tournament will be posted on the Challenge Microsites shortly after the Seeding Announcement. At that time, if you are fully registered, by completing the Quicken Loans Registration Form, and verified for the Challenge via the Registration Process set forth above, you must return to one of the Challenge Microsites during the Bracket Submission Period to populate your Challenge Entry Bracket with your Picks. Note that the "play-in" games scheduled for Tuesday, March 18 and Wednesday, March 19, 2014, are not included in the Challenge Entry Brackets, and do not count towards an Entrant's scores in this Challenge.
You will also be asked to guess what the final score will be for each team participating in the championship game of the Tournament (the "Championship Game"). Your guess of each participating team's score in the Championship Game for the Challenge Entry Bracket, added together, is referred to as your "Predicted Final Score." Your Predicted Final Score is collectively referred to as your "Tiebreaker Answer." The Tiebreaker Answers will be used in the event there is a tie between two or more Entrants for the First Prize; refer to Rule 4 below for more information. A user who has submitted the foregoing materials in keeping with the deadlines described in these Official Rules, and who is otherwise in full compliance with the eligibility restrictions and all other provisions of these Official Rules, is referred to as a qualifying Entrant. You have until the close of the Entry Window to create your Challenge Entry Bracket, complete your Picks and select your Tiebreaker Answer, and make revisions to your Challenge Entry Bracket. YOUR FINAL PICKS AND TIEBREAKER ANSWER WILL BE LOCKED IN YOUR CHALLENGE ENTRY BRACKET AT THE END OF THE ENTRY WINDOW, REGARDLESS OF THE EXTENT TO WHICH IT HAS BEEN COMPLETED.
In the event that one or more teams participating in the Tournament change(s) for any reason after the initial Tournament seedings have been posted on the Challenge Microsites, the Sponsor will update the Challenge Microsites to reflect the changed team(s), and will make a reasonable attempt to notify Entrants of the changed bracket by posting a notice of the change(s) on the Challenge Microsites. At that point, it is the Entrant's responsibility, prior to the end of the Entry Window, to return to the Challenge Microsites to modify his/her Challenge Entry Bracket for any game(s) affected by the changed teams. Yahoo will not automatically update any Picks in order to reflect the change in teams, so any previously selected Picks affected by a change in teams may be treated as incorrect and Entrants release Challenge Entities from all liability in connection therewith.
For purposes of these Official Rules, "receipt" of an Entry only occurs when Yahoo's servers record an Entrant's registration information and Challenge Entry Bracket (including Tiebreaker Answer) during the Entry Window, and Challenge Entities shall have no liability whatsoever for any attempted entry which is not received as set forth herein. Screen shots, printouts or other purported "proof" or "evidence" of entry or winning, in lieu of Sponsor's validation process, shall not be binding. Proof of sending (such as an automated receipt, screen shots, etc.) does not constitute proof of actual receipt of an Entry for purposes of these Official Rules.
LIMIT OF A MAXIMUM OF ONE CHALLENGE ENTRY BRACKET (ONE ENTRY) PER PERSON IN THIS CHALLENGE. ONE PERSON PER YAHOO ID. Any attempt by any Entrant to submit or play more than the one (1) permitted Challenge Entry Bracket (e.g. by creating or submitting additional entries from multiple Yahoo IDs) will void all Entries by that Entrant and disqualify him/her from the Challenge. The submission of an Entry is solely the responsibility of the Entrant. Entries may only be made according to the methods described above. Automated entries (including, but not limited to, entries submitted using any bot, script, macro, hack, or submission service), copies, third party entries, facsimiles and/or mechanical reproductions are not permitted, will be null and void, and any Entrant attempting to automate entries will be disqualified from the Challenge. Unintelligible, incomplete or garbled entries will be null and void and are not eligible entry into the Challenge. By entering, Entrants acknowledge that the Challenge Entities do not warrant or represent that the Challenge will be completely error or fraud free or that the Challenge will run without interruption, malfunction or technological issue. Challenge Entities are not responsible for misdirected, incomplete, lost, late, undelivered, inaccurate or delayed Entries, or Challenge Entry Brackets otherwise not recorded by Yahoo's servers, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person's ability to participate in the Challenge, whether human, mechanical, typographical, printing, fraudulent, electronic, network or otherwise, relating to or in connection with the Challenge, including, without limitation, errors that may occur in connection with the administration of the Challenge, the processing of Entries, the announcement of winners or fulfillment of prize award, or in any Challenge-related materials. Fraudulent, unfair, unsportsmanlike, false or deceptive Entries or acts will render the Entrant ineligible. All Entries become the property of Sponsor, and none will be acknowledged or returned. Notwithstanding any of the foregoing, Challenge Entities failure to detect fraud and/or invalidate Entries as set forth herein, shall not constitute a breach of these Official Rules, or unfair or deceptive practice and/or violation of any Entrant's rights.
CHALLENGE ENTRY BRACKETS WILL ONLY BE ACCEPTED IN THE CHALLENGE FROM THE FIRST FIFTEEN MILLION (15,000,000) ENTRANTS WHO COMPLETE THE REGISTRATION PROCESS AND VERIFY THEIR EMAIL ADDRESS (AS DETERMINED BY YAHOO).
Sponsor reserves the right to modify the entry process as described herein in its sole discretion and notice will be posted on the Website reflecting same.
Scoring. The Challenge scores all Picks in an Entrant's Challenge Entry Bracket exclusively on the basis of the scoring system ("Scoring System") outlined in this Rule 4. Under the Scoring System, Entrants will earn points ("Points") by correctly predicting the winning teams in the 63 games of the Tournament. The number of Points awarded for each correct pick of a winning game of the Tournament will increase with each round of the Tournament. The Points earned through the end of the Tournament will be totaled to generate an Entrant's total score for the Challenge. The Points that will be awarded for each Tournament round in this Challenge are set forth below:

In addition to these Official Rules, additional rules and guidelines regarding game play and scoring can be found at the Website. In the event of a conflict between these Official Rules and any instruction found elsewhere, including the Challenge Microsites, these Official Rules will control.
Winner Selection. On or about April 14, 2014, employees or representatives of Sponsor will determine if there is a potential Grand Prize Winner (or those who will share the Grand Prize according to Rule 6 below) from the Challenge Entry Brackets received from qualifying Entrants who submitted one of the qualifying Challenge Entry Brackets during the Bracket Submission Period and the potential First Prize Winners (defined below) from all eligible Challenge Entry Brackets received from qualifying Entrants who submitted one of the qualifying Challenge Entry Brackets during the Bracket Submission Period in accordance with these Official Rules and the Scoring System. Grand Prize Winner, if any, and the First Prize Winners are, collectively, the "Winners." All Point calculations and awards will be made solely and exclusively by Sponsor, in its sole discretion, and all decisions of Sponsor regarding the awarding of Points to Entrants shall be final and binding in its reasonable discretion and are not subject to appeal. The result of any game in the Tournament shall be deemed final based on the results certified by the NCAA prior to the commencement of the immediate next game in the Tournament, unless the NCAA undertakes review of the results of said game, in which case the NCAA's final decision shall be determinative. If any scheduled game in the Tournament is not played for any reason, or if the Tournament seedings, matchups, or brackets are modified, altered or rearranged after the close of the Entry Window for any reason, then no Grand Prize will be awarded but First Prizes will still be awarded as set forth herein.
Prizes Available. Two (2) prize levels are potentially available (collectively, the "Prizes"), and will be awarded as follows:
Potential Grand Prize Winner: One (1) grand prize will be awarded to an eligible Entrant only if on a single, validly submitted Challenge Entry Bracket, he/she accurately predicts the outcome of all 63 games in the Tournament ("Perfect Bracket"). The Grand Prize (as hereinafter defined) will only be awarded if an eligible Entrant submits a Perfect Bracket (the "Grand Prize Winner"). If more than one (1) eligible Entrant submits a Perfect Bracket and each is confirmed as a Grand Prize Winner, the Grand Prize will be equally divided among the Challenge's Grand Prize Winners, with each Grand Prize Winner entitled to the Grand Prize Winner's proportionate share of the Grand Prize regardless of the whether the Grand Prize Winner elects the Annual Payment Option (defined below) or the One-Time Payment Option (defined below). For example, if there are two (2) Grand Prize Winners, each Grand Prize Winner will be entitled to elect either 50% of the Annual Payment Option or 50% of the One-Time Payment Option. IF NO ELIGIBLE ENTRANT SUBMITS A PERFECT BRACKET, THE GRAND PRIZE WILL NOT BE AWARDED.
Twenty (20) First Prize Winners: Twenty (20) first prizes will be awarded to the twenty (20) eligible Entrants who scored the most total Points in the Challenge based upon the Scoring System (the "First Prize Winners"). All eligible Entries, other than a Grand Prize Winner, submitted during the Entry Window are eligible to win a First Prize. In the event of ties, the ties will be broken (as necessary) in the following order:
Prizes and Approximate Retail Values ("ARV").
Grand Prize: The grand prize ("Grand Prize") will consist of one billion dollars ($1,000,000,000) USD, payable over the course of forty (40) years in forty (40) equal annual installments of $25 million ("Annual Payment Option"). The Grand Prize Winner has the option, in the Grand Prize Winner's sole discretion, to elect to receive a one-time payment of $500 million ("One-Time Payment Option") instead of the 40 equal annual installments of $25 million. THE GRAND PRIZE WILL NOT BE AWARDED IF NO ELIGIBLE ENTRANT SUBMITS A PERFECT BRACKET.
First Prize: The twenty (20) First Prize Winners will each receive one hundred thousand dollars ($100,000) ("First Prize"). The First Prize will be delivered to the First Prize Winners in the form of a check.
Total ARV: Grand Prize and the First Prize are hereinafter referred to, individually, as a "Prize". and collectively, as the "Prizes." The total maximum value of all Prizes available to be won is one billion, two million dollars ($1,002,000,000).
Prize Conditions. LIMIT ONE PRIZE PER ENTRANT. A Grand Prize Winner is not eligible to win a First Prize and Grand Prize Winner, if any, releases Challenge Entities from any claims related thereto. All federal, state, and local taxes, and all other costs associated with acceptance or use of the Prizes, are the sole responsibility of the Winners. Each Winner may waive his/her right to receive a Prize. A Prize is non-transferable, non-exchangeable, and non-refundable, and must be accepted by the Winner as awarded. Each Winner will receive an Internal Revenue Service Form 1099 for the amount of the Prize awarded each calendar year and the Prize awards will be reported as required by applicable tax law.
Odds of Winning. The odds of winning the Grand Prize depend on the outcome of each of the Tournament games and the skill of each Entrant. Mathematical odds of winning the Grand Prize are 1:9,223,372,036,854,775,808, which may vary depending upon the knowledge and skill of the Entrant, and the odds of winning a First Prize depend upon the outcome of each of the Tournament games, number of eligible Entries received during the Entry Window and the skill of each Entrant.
Winner Notification and Verification. Receiving a Prize is contingent upon compliance with these Official Rules, including all eligibility requirements. The potential Winners will be notified within fifteen (15) days after the winner determination on April 14, 2014. The Winners will be notified by telephone or email using the telephone number (if any) or email address provided in the Entrant's Quicken Loans Registration Form. Sponsor is not responsible if unable to contact a potential Winner for prize notification purposes for whatever reason, including Entrant's failure to provide a correct telephone number or email address at the time of submission of the Quicken Loans Registration Form. Within fifteen (15) days after receiving notification of winning, a potential Winner (or winner's parent/legal guardian if Winner is an eligible minor) must execute and return to Sponsor an Affidavit of Eligibility/Release of Liability and/or Publicity Release (unless prohibited by law). Disqualification and the determination of an alternate First Prize Winner (but not Grand Prize Winner) may result from any of the following: (a) potential Winner's inability or refusal to accept the Prize; (b) the inability of Sponsor to contact the potential Winner for any reason; (c) failure of the potential Winner to return the completed and executed Affidavit of Eligibility/Release of Liability/Publicity Release within fifteen (15) days after notification of winning; or (d) any other non-compliance with these Official Rules, as determined by Sponsor in its sole discretion. In the event that a potential First Prize Winner is disqualified for any reason or waives his/her right to receive a First Prize, Sponsor will award the First Prize to an alternate potential Winner with the next highest total Points. In the event that a potential Grand Prize Winner is disqualified for any reason or waives his/her right to receive a Grand Prize, Sponsor will not award the Grand Prize. PLEASE NOTE THAT EVEN IF YOUR CHALLENGE ENTRY BRACKET IS LISTED AS A POTENTIAL WINNER AT THE CLOSE OF THIS CHALLENGE, YOU HAVE NOT YET WON A PRIZE. EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, AND MUST MEET ALL ELIGIBILITY REQUIREMENTS AND THE TERMS OF THESE OFFICIAL RULES BEFORE AN ENTRANT WILL BE CONFIRMED AS A WINNER AND A PRIZE WILL BE AWARDED.
Prize Delivery. Within thirty (30) days after verification of a Winner's identity and eligibility to win a Prize, Sponsor or its representative will contact the Winner to coordinate and make appropriate arrangements for the delivery of the Prize to the Winner.

By entering the Challenge, each Entrant agrees that: (a) he or she will abide by and be bound by these Official Rules; (b) the Entry, including any comments submitted, becomes solely the Sponsor's property and will not be acknowledged or returned; (c) neither Sponsor nor Challenge Entities are responsible for claims, injuries, death, losses or damages of any kind resulting from participation or inability to participate in the Challenge, or the administration of the Challenge, or the awarding, acceptance, use, misuse, possession, loss or misdirection of a Prize or Registration Information (defined below); (d) Sponsor and Challenge Entities are not responsible for any inability or refusal of a Winner to accept a Prize for any reason; and (e) by entering the Challenge, all Entrants further agree that Sponsor and Challenge Entities have the sole right to decide all matters relating to the Challenge, including fact, interpretation, eligibility, procedure, fulfillment, and disputes from the Challenge. Yahoo is not a sponsor of this Challenge and by entering, all Entrants agree to look solely to Sponsor for any claims or liabilities with respect to this Challenge, including the development, execution and administration thereof.
Release of Liability.
Although Sponsor and Challenge Entities attempt to ensure the integrity of the Challenge, neither Sponsor nor any of the Challenge Entities are responsible for, nor can they control or prevent with 100% accuracy, the actions of Entrants or other individuals in connection with the Challenge, including attempts by Entrants or other individuals to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of the Challenge, or for any technological malfunctions which may occur on the Challenge Microsites and all webpages hosted by Yahoo for the Challenge or otherwise with regard to the Challenge, including but not limited to any loss or corruption of any Registration Information and all Entrants release Challenge Entities from any and all liability, claims, or damages relating thereto. If, for any reason, the Challenge is not capable of running as planned by reason of damage by acts of God, sabotage, terrorism or threats thereof, computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, or any other causes which, in the sole opinion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of the Challenge, Sponsor and Challenge Entities reserves the right in their sole and absolute discretion to modify these Official Rules, and/or to cancel, terminate, modify or suspend all or any part of the Challenge, and in the event of cancellation or termination, to elect to select First Prize Winners from among all eligible non-suspect Entries received up to the time of such cancellation, termination, modification, or suspension, as applicable (no Grand Prize will be awarded) and all Entrants hereby release Challenge Entities for any claims relating thereto. Notice of such cancellation, termination, modification, or suspension will be posted on the Website. Sponsor will prohibit any Entrant or potential Entrant from participating in the Challenge, if such Entrant or potential Entrant shows a disregard for these Official Rules, acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Challenge Entities or behaves in any other or disruptive or fraudulent manner (as determined by Sponsor in its sole discretion). Sponsor will disqualify any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Challenge, the Websites, Quicken Loans Registration, the Challenge or the Tournament; (b) violating the Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Yahoo property or service; or (d) acting in a fraudulent, misleading, deceptive, unfair, unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.
The Official Rules will be posted on the Website throughout the Entry Window. By entering and participating in the Challenge, each Entrant represents and warrants that all information provided by Entrant in the Challenge, including on the Quicken Loans Registration Form or Challenge Entry Bracket ("Registration Information") is true, accurate and complete. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CHALLENGE IS A VIOLATION OF THESE OFFICIAL RULES, AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR AND CHALLENGE ENTITIES RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW.
Limitations on Liability. Neither Sponsor nor any of the Challenge Entities, including Yahoo, shall be liable to any Entrant, potential winner or verified Winner or any other person for failure to supply the Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, fraud or attempted fraud, mistakes, data loss, data corruption, technological or human error or malfunction, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Sponsor's and/or Challenge Entities' sole control.
Release and Indemnification. BY ENTERING THE CHALLENGE, ENTRANTS RELEASE AND HOLD SPONSOR AND THE CHALLENGE ENTITIES AND INSURER HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE CHALLENGE OR PARTICIPATION IN ANY CHALLENGE-RELATED ACTIVITY, INCLUDING WITHOUT LIMITATION, ACCESS TO ANY MATERIALS, ANY FRAUD OR ATTEMPTED FRAUD, MISTAKE, DATA LOSS, DATA CORRUPTION, TECHNOLOGICAL OR HUMAN ERROR OR MALFUNCTIONS, OR RESULTING DIRECTLY OR INDIRECTLY, FROM ADMINISTRATION OF THE CHALLENGE, ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE CHALLENGE, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY.
Publicity Release: Except where prohibited, by accepting a Prize, each Winner (or Winner's parent/legal guardian if winner is an eligible minor) grants permission for Sponsor and Challenge Entities to use his/her name, voice, image and/or likeness, for advertising, merchandising, promotion and/or publicity purposes in any and all media now known or hereinafter invented without territorial or time limitations and without additional compensation.
Applicable Law/Disputes. Except where prohibited, as a condition of participating in this Challenge, each Entrant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with this Challenge, or any Prize awarded, or the determination of Winners, shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than Entrant's actual out-pocket expenses (e.g., costs associated with entering this Challenge). Entrant further waives all rights to have damages multiplied or increased. All issues and questions, rights, and obligations of an Entrant in connection with this Challenge shall be governed by, and construed in accordance with, the laws of the Michigan, without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in Detroit, Michigan (provided that such location is reasonably convenient for claimant, and if not, as determined by the arbitrator). The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Challenge. Any controversy or claim arising out of or relating to these Official Rules and/or this Challenge shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association ("AAA"). Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Detroit, Michigan, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant's filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision [Rule 16(c)] is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by AAA, then the balance of this arbitration provision [Rule 16(c)] shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS CHALLENGE IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.
BY PARTICIPATING IN THE CHALLENGE, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CHALLENGE, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.
Official Rules. By participating in the Challenge, each Entrant fully and unconditionally agrees to and accepts these Official Rules and decisions of the Sponsor, which are final and binding in all matters relating to the Challenge. The Challenge will be run in accordance with the Official Rules, subject to amendment by Sponsor. Each Entrant must comply with the Official Rules and will be deemed to have received and understood the Official Rules by participating in the Challenge. The terms of the Challenge, as set out in the Official Rules, are not subject to amendment or counteroffer, unless determined by Sponsor in its sole discretion. If any provisions of the Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. Sponsor and Challenge Entities' failure to enforce any term of these Official Rules will not constitute a waiver of that provision.

Insurance Disclaimer. Sponsor has entered into a Prize Indemnification Insurance Policy with National Indemnity Company ("Insurer") that may cover the Grand Prize. The Prize Indemnification Insurance Policy does not create any third-party rights, and any liability of Insurer under the Prize Indemnification Insurance Policy for the Grand Prize is contingent upon the completion of the confidential data verification procedures ("Data Verification Procedures") agreed between Sponsor and Insurer. By entering the Contest, an Entrant acknowledges that Insurer's liability is solely determined by the terms of the Prize Indemnification Insurance Policy and Data Verification Procedures as agreed between Insurer and Sponsor.
